What's in the engagement contract?
The standard contract covers scope, commitment, rate, term, confidentiality, IP assignment, data protection, and replacement provisions.
The standard outsourcing engagement is governed by Kuubiik's Master Services Agreement and a Project-specific Schedule A covering:
- Scope of work
- Part-time or full-time commitment and rate
- Term (one, two, or three years) and renewal provisions
- Deposit (one month of the Service Fee)
- Reward Days allocation
- Confidentiality (mutual NDA included)
- IP assignment to the client
- Data protection terms
- Replacement and discontinuation provisions
- Non-solicitation and Business Continuity Compensation
- Kuubiik's responsibilities as Contractor of Record (contractor administration, compliance, payments, HR)
- Client's responsibilities (day-to-day work direction, tools, access)
We can sign client-specific NDAs and master services agreements where required. Bespoke terms are common for larger clients.
